ARTICLE V

CHARTER MEMBERS

Section 1. Members who adopt and sign the By-Laws of the RattleSnake 4x4s on or before

08/16/2016, shall be known as Charter Members.

ARTICLE VI

MEETINGS

Section 1. Meetings of the membership of the RattleSnake 4x4s shall be held monthly for a total of 12 meetings per year at such times and places as may be determined by the Executive Board. Five (5) or more voting members shall constitute a quorum for a membership meeting.

ARTICLE VII

ADMINISTRATION OF OFFICERS

Section 1. A President, Vice President, or Secretary, and Treasurer  shall be known as the Executive Committee.

Section 2. It shall be their duty to draw up an agenda for all board and membership meetings, and it shall be their further duty to assume the function of the Executive Board in case of emergency.

Section 3. The Executive Board shall consist of the members of the Executive Committee, the immediate past president and two (2) delegates and up to five additional trustees (for a maximum of 11), all of whom (with the exception of the past president) shall be elected to office for a period of one year from the general membership.

Section 4. No new office shall be added to the club except by the vote of the majority of the entire membership of the club.

ARTICLE VIII

DUTIES OF OFFICERS

Section 1. The President shall preside over all membership and board meetings and shall be present at all events when possible. The President shall be the Executive Officer and shall have the duty to carry out the policies and decisions of the Executive Board..

Section 2. The Vice President shall, in the absence of the President, serve in that capacity. The Vice President shall also serve as a Parliamentarian and perform such other duties as assigned by the Executive Board.

Section 3. The Secretary or Secretary/Treasurer shall keep and preserve all records and minutes of the executive board, and regular membership meetings, a ledger of roll call to determine the number of voting members present so it may be known if a quorum is in attendance, shall keep a file system of membership and shall receive and answer all general correspondence pertaining to the organization.

(a) The Treasurer or Secretary/Treasurer shall keep accurate, complete records of the funds and accounts of this organization shall collect all dues and maintain a record thereof. The Secretary/Treasurer shall make only such disbursements from the funds of the organization as are directed by the Executive Board and Article IX hereof.

ARTICLE IX

EXPENDITURES & FINANCE

Section 1. All moneys received from all sources shall immediately be turned over to the Treasurer to be deposited in the checking account of the RattleSnake 4x4s . Expenditures up to and including one hundred dollars ($100.00) shall be considered petty cash and may be paid at the discretion of the Treasurer.

Section 2. Expenditures between one hundred dollars ($100.00) and two hundred fifty dollars ($250.00) must be approved by the Executive Board. Expenditures over two hundred fifty dollars ($250.00) must be approved by a vote of the members at the regular business meeting after the business meeting at which the expenditure was proposed, a quorum being present at both meetings. All expenditures shall be made by check, and the item for which each check is drawn shall be designated on the front of each.


ARTICLE X

COMMITTEES

Section 1. Committees shall be designated by the Executive Board. Each committee shall be assigned by the President to a director who shall be responsible for it’s activities.

ARTICLE XI

ELECTION OF OFFICERS

Section 1. The membership shall meet and nominate officers and trustees for each calendar year (Jan 1st – Dec 31st) at the regular October meeting.

Section 2. Voting shall be in person or by written and signed proxy at the regular November meeting. The candidates for office must be regular members in good standing. A majority of vote’s cast is necessary for election to an office or position on the Executive Board. The newly elected officers shall take office on January 1st.

Section 3. In the event of a vacancy in the office of President, Vice President, or Secretary/Treasurer, an election shall be called to elect a successor.
